Prayer Link Terms of Use Agreement

Introduction

Welcome to the Prayer Link website. Prayer Link is operated by Prayer Link LLC. In this Term of Use Agreement, Prayer Link is referred to as we, us or our. Registered Members and visitors to this website are referred to as Members, Visitors, or you. The Terms of Use Agreement is referred to as the (or this) Agreement.

Before Using the Prayer Link Website, Please Read these Terms of Use Carefully

By using the Prayer Link website or any of the Prayer Link services, you agree to be bound by this Agreement. The terms of the Agreement apply whether you are a registered Member or a Visitor. If you do not agree to these terms, you may not use the Prayer Link website or any Prayer Link services, and you must leave this website immediately.

We reserve the right to change, modify, edit, add to, or delete portions of this Terms of Use Agreement at any time. If we do change these terms, we will follow the procedures described in the paragraph labeled "Amendment.”

Whether you are a member or a visitor, this agreement is in effect and governs your behavior whenever you use the Prayer Link website or service. You may terminate your membership at any time by following the instructions on your Account Settings page. Prayer Link may terminate your membership at any time, without cause, for any reason. The terms of this Agreement remain in force even if your membership is cancelled by you or by Prayer Link, LLC.

Use of Materials

All materials contained in the Prayer Link website are the copyrighted property of Prayer Link LLC or of its third-party licensors. All trademarks and service marks are the property of Prayer Link LLC or of its third-party licensors. Material from the Prayer Link website may not be reproduced, copied, posted, uploaded, transmitted, republished or distributed in any way or in any form. You may not use the Prayer Link material on any other website, on any computer network, or for any other use. You may not frame, or use any other programmatic technique, to include the Prayer Link materials on any other website.

Membership Agreement

1. You agree to abide by all laws. Use of the Prayer Link website is not permitted where prohibited. Membership or registration for Prayer Link is void where prohibited.
2. By using the Prayer Link website, you represent and warrant that you are 18 years of age or older, and that you are not violating any applicable laws or regulations. Your Membership Registration may be cancelled if we believe that you are younger than 18 years of age, or if you do not strictly adhere to these Terms of Agreement.
3. When you register for a Prayer Link Membership, you are asked to supply a password. You are solely responsible for maintaining the confidentiality of your password. You are solely responsible for all use of your Prayer Link Member Account. You agree to not disclose your password to anybody. You agree to notify Prayer Link immediately if you suspect anyone else has access to your Prayer Link Membership Account or password. You agree to not use any Member account or password that belongs to another person.
4. The Prayer Link service is for the private, non-commercial use of its Members and Visitors. Only commercial interests explicitly approved by Prayer Link may use and access the Prayer Link website, services and network. Commercial advertisements, affiliate links or any other commercial use, except those explicitly approved by Prayer Link, are prohibited on Prayer Link profiles, forums and web logs and may be removed by Prayer Link without notice. Commercial use of the Prayer Link service, profiles forums, and web logs may result in termination of your Member account. Legal action will be taken to protect all rights against unauthorized use of the Prayer Link service.

Rules of Behavior

1. Collecting or harvesting Prayer Link Member Names or User Names by any means, including electronic or programmatic means, is prohibited.
2. Unauthorized framing of the Prayer Link website, content, forums or web logs is prohibited.
3. Any automated use of the Prayer Link system is prohibited, including but not limited to using scripting programs or software to access Prayer Link content, forums or web logs, send or post messages, send or post comments, or to collect User or Member names.
4. Sending unauthorized email or messages to Prayer Link Members is prohibited.
5. You agree not to post, distribute or link to any information, text, message, email or data file that we deem to be (a) inflammatory, abusive, defamatory, insulting, or threatening in any manner to any person or group; (b) bigoted or racially offensive; (c) hateful; (e) obscene, vulgar or sexually explicit; or (e) violent or encouraging violence against another person or group.
6. You agree to not post, distribute or link to any information, text, message, email or data file that contains images, photographs, videos or files depicting nudity or sexually suggestive situations.
7. You agree to not post, distribute or link to any information, text, message, email or data file that contains images, photographs, videos or files depicting violence.
8. You agree not to harass or encourage harassment of another person or group.
9. You agree not to post, distribute or link to any information, text, message, email or data file that is illegal, encourages illegal behavior, condones illegal behavior or discusses illegal behavior with the intent to commit illegal activities.
10. You agree not to post, distribute or link to any information, text, message, email or data file that contains a virus, root kit, trojan, worm, spy ware, ad ware or other harmful components.
11. You agree not to impersonate someone else or misrepresent your identity.
12. You agree not to engage in disruptive or destructive acts, including but not limited to flaming, spamming, and flooding.
13. You agree not to solicit personal information from anyone under 18 years of age.
14. You agree not to post, distribute or link to any personally identifiable information including but not limited to telephone numbers, street addresses, first or last names, email addresses or to provide links to websites that contain personally identifiable information about Prayer Link Members or Visitors.
15. You agree not to post, change, modify or distribute another person’s copyrighted works. You agree not to link to or provide information explaining how to find, use or download unauthorized copyrighted materials, including but not limited to pirated music, movies or videos, pirated computer programs or software, or software or information to disable digital rights management.
16. You agree not to post, distribute or link to chain letters, junk mail, spam, splogs (also known as web log spam), or any other unsolicited mass mailing.
17. You agree not to post, distribute or link to instant messaging spimming or spamming.
    

Forums and Public Communications

The Prayer Link website provides publicly accessible forums and web log journals. Forums are sometimes known as chat rooms or message boards. Web log journals are sometimes known as blogs.

If you participate in any forum or web log on the Prayer Link website, either by reading the forums or web logs, or by posting comments to forums or web logs, you acknowledge that this information is freely available on the internet. Therefore, you have no expectation of privacy for any submission you make to a Prayer Link forum or web log. Further, you acknowledge that Prayer Link cannot secure any information that you disclose online. You make all forum or web log postings at your own risk.

Members and Visitors are solely responsible for any and all content posted on the Prayer Link forums or web logs. Prayer Link is not responsible for the opinions or content posted on the forums or web logs. You are responsible for all postings under your registered Member name. If you use any information found on the Prayer Link forums or web logs, you do so at your own risk.

We reserve the right to edit or remove content from any forum or web log at any time, for any reason, without notification or explanation. However, we have no obligation to do so. 

Copyright Policy

You may not post, distribute, modify or reproduce any copyrighted or trademarked materials, or proprietary information belonging to others, without first getting explicit written consent from the owner. 

Privacy

Prayer Link is also governed by a Privacy Policy, which is included in the Terms of Agreement by this reference. 

Linked Content

You should be aware that you may encounter links on the Prayer Link website that may lead you to a website not under the control of Prayer Link, LLC. This may occur if, for example, you click on an advertisement and are taken off the Prayer Link website. By clicking on links that take you off the Prayer Link website, you acknowledge and agree that Prayer Link is not responsible for those sites.

Prayer Link reserves the right to disable or delete links to third-party websites, at any time for any reason, without notification or explanation. However, we are under no obligation to do so.

We make no representations concerning the content of any websites listed or linked to on the Prayer Link website. We are not responsible for the accuracy, legality, decency or copyright compliance of material contained in websites that may be linked to the Prayer Link website.

Disputes

Any dispute relating in any way to your use of the Prayer Link service or website shall be submitted to confidential arbitration in Evansville, Indiana, except that, to the extent you have in any manner violated or threatened to violate Prayer Link, LLC intellectual property rights, Prayer Link may seek injunctive or other appropriate relief in any state or federal court in the state of Indiana, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise. 

Indemnity

You are entirely responsible for maintaining the confidentiality of your Member Name(s), password(s), and your account, as well as all activities that occur under your account.

You agree to indemnify, defend, and hold us, our affiliates, and our owners and agents harmless from and against any and all liabilities and costs,  including reasonable attorneys' fees, incurred in connection with any claim arising out of any breach by you of these terms of use or claims arising from your account. You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. 

Amendment

We reserve the right to change, modify, edit, add to, or delete portions of this Terms of Use Agreement at any time. We will post changes, modifications, edits, additions or deletions to this Agreement on this page. We may also notify you by email, at the most recent email address in your Member Profile, of any change, modifications, edits, additions or deletions to this Agreement. All changes will become effective ten days after we post these changes to this Terms of Use Agreement page. It is your responsibility to maintain your Member Profile so that it has your current email address at all times.
